Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by Consultare ("Company," "we," "us," or "our"), including our AI-powered agents for SAP Business One, BLISS (Bank Ledger Integration Suite) financial data integration, and related software solutions (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Description of Services

Consultare provides the following services:

  • Data Validator: AI-driven data validation and integrity checks for SAP Business One
  • Mango (OCR): Machine Assisted Next Generation OCR for document scanning and SAP B1 data entry
  • MIRA: Machine Intelligence for Reporting and Analytics, generating insights from SAP B1 data
  • BLISS: Bank Ledger Integration Suite for financial account connectivity and transaction synchronization with SAP Business One
  • Implementation consulting, support, and custom development for SAP Business One

3. Account Registration

To use certain features you may need to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to provide accurate, current, and complete information and to notify us immediately of any unauthorized use.

4. BLISS Financial Services Terms

By using our BLISS (Bank Ledger Integration Suite) integration, you additionally agree to the following:

  • You authorize Consultare to retrieve financial data from your linked accounts through BLISS
  • You represent that you are the legal owner or authorized user of the financial accounts you connect
  • You understand that BLISS connects to financial institutions through secure banking APIs
  • You agree to the BLISS End User Privacy Policy and End User Services Agreement
  • You may disconnect your financial accounts at any time, which will stop data retrieval but will not delete previously synchronized data from SAP Business One
  • Consultare is not responsible for errors, outages, or data issues originating from BLISS or your financial institution

5. Permitted Use

You agree to use the Services only for lawful business purposes. You shall not:

  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to process data you are not authorized to access
  • Attempt to gain unauthorized access to our systems or other users' data
  • Use automated tools to scrape, crawl, or extract data from the Services
  • Sublicense, resell, or redistribute the Services without written consent
  • Use the BLISS integration to access accounts you do not own or have authority over

6. Intellectual Property

All intellectual property rights in the Services, including software, algorithms, models, documentation, trademarks, and trade secrets, remain with Consultare. You are granted a limited, non-exclusive, non-transferable license to use the Services during the term of your subscription. Your data remains yours; we claim no ownership over customer data processed through our agents.

7. Data Processing

Our handling of your data is governed by our Privacy Policy. By using the Services, you acknowledge that your data may be processed by our AI agents for the purposes of providing the Services. For BLISS integration specifically, financial data is retrieved, processed, and posted to SAP Business One as configured by your administrator.

8. Service Availability & SLA

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by third-party services (including banking APIs, SAP, or cloud infrastructure providers), force majeure events, or your own network or hardware failures.

9. Limitation of Liability

To the maximum extent permitted by law, Consultare shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of profits, data, or business opportunities. Our total aggregate liability shall not exceed the amount you paid for the Services in the twelve months preceding the claim. This limitation applies to all claims, whether based on contract, tort, or any other legal theory.

10. Indemnification

You agree to indemnify and hold harmless Consultare, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate these Terms with 30 days written notice. We may suspend or terminate your access immediately if you violate these Terms or engage in activity that could harm the Services or other users. Upon termination, your right to use the Services ceases. You may request export of your data within 30 days of termination; after which, we may delete your data from our systems.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Services at least 30 days before taking effect. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
